Terms of Service

Agreement to Terms: By accessing or using Haleji's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
1. Agreement and Acceptance
These Terms of Service ("Terms") constitute a legal agreement between you ("Customer," "you," or "your") and Haleji ("we," "us," or "our") governing your use of Haleji's Unified Communications as a Service (UCaaS) platform powered by Alcatel-Lucent Enterprise Rainbow Hub.
By creating an account, accessing our services, or using any part of the Haleji platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Acceptable Use Policy.
2. Service Description
Haleji provides cloud-based unified communications services including:
- Business telephony and VoIP calling
- SIP trunking and direct inward dialing (DID) numbers
- Team collaboration and messaging
- Video conferencing
- File sharing and storage
- CRM and business application integrations
- Mobile and desktop applications
3. Account Registration and Eligibility
3.1 Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts. If you are registering on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
3.2 Account Information
You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and update your account information
- Keep your account credentials secure and confidential
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
4. Service Plans and Pricing
4.1 Subscription Tiers
Haleji offers three subscription tiers:
- Connect ($29/user/month): Basic telephony and collaboration features
- Grow ($49/user/month): Advanced features including video conferencing and CRM integration
- Scale ($69/user/month): Enterprise features with priority support
4.2 Billing and Payment
- Subscription fees are billed monthly in advance
- Additional charges apply for SIP trunk lines, DIDs, and usage beyond plan limits
- All fees are in Canadian Dollars (CAD) unless otherwise specified
- Payment must be made by credit card, debit card, or approved payment method
- Failed payments may result in service suspension
- All fees are non-refundable except as required by law
4.3 Price Changes
We reserve the right to modify pricing with 30 days' advance notice. Continued use of services after the effective date constitutes acceptance of new pricing.
5. Free Trial
New customers may be eligible for a 14-day free trial. During the trial:
- No credit card is required to start the trial
- Full access to features of your selected tier is provided
- The trial automatically ends after 14 days
- To continue service, you must subscribe to a paid plan
- We reserve the right to modify or cancel trial offers
6. Service Level Agreement (SLA)
6.1 Uptime Commitment
Haleji commits to 99.9% uptime for core services (telephony, messaging, conferencing), excluding scheduled maintenance.
6.2 Scheduled Maintenance
- Routine maintenance will be scheduled during off-peak hours
- Advance notice of at least 48 hours will be provided
- Emergency maintenance may be performed without notice
6.3 Service Credits
If uptime falls below 99.9% in a billing month (excluding scheduled maintenance), you may be eligible for service credits as follows:
- 99.0% - 99.9% uptime: 10% service credit
- 95.0% - 98.9% uptime: 25% service credit
- Below 95.0% uptime: 50% service credit
7. Customer Responsibilities
You are responsible for:
- Providing compatible devices and internet connectivity
- Configuring and maintaining your equipment
- Complying with our Acceptable Use Policy
- Protecting your account credentials
- Ensuring lawful use of services
- Maintaining backup copies of your data
- Providing accurate emergency service location information
8. Emergency Services (911/E911)
Important Limitations:
- VoIP 911 services may not function during power or internet outages
- You must provide and maintain accurate physical location information
- Mobile users must update location when changing work locations
- Emergency responders may not receive your phone number or precise location
- 911 calls may take longer to connect than traditional phone service
9. Data Privacy and Security
9.1 Data Collection
We collect and process data as described in our Privacy Policy, including:
- Account and billing information
- Call detail records (CDRs)
- Usage and performance data
- Communications metadata
9.2 Data Security
We implement industry-standard security measures including:
- Encryption in transit (TLS/SSL)
- Encryption at rest for stored data
- Regular security audits and monitoring
- Secure data centers with physical security
9.3 Data Retention
- Active account data is retained for the duration of your subscription
- Call detail records are retained for 12 months
- Billing records are retained for 7 years as required by law
- Data may be retained longer if required by law or legal process
10. Intellectual Property
10.1 Our Rights
All rights, title, and interest in the Haleji platform, including software, trademarks, logos, and documentation, remain our exclusive property.
10.2 Your Rights
You retain all rights to your content and data. By using our services, you grant us a limited license to process and transmit your data solely to provide services.
10.3 Third-Party Components
Services incorporate Alcatel-Lucent Enterprise Rainbow Hub technology, subject to separate licensing terms.
11. Term and Termination
11.1 Term
Services are provided on a month-to-month basis unless otherwise agreed in writing. The term begins on your subscription date and continues until terminated.
11.2 Termination by Customer
- You may cancel at any time with 30 days' notice
- Cancellation takes effect at the end of your current billing period
- No refunds for partial months
- Early termination fees may apply to annual contracts
11.3 Termination by Haleji
We may suspend or terminate services if:
- Payment is not received within 15 days of the due date
- You violate these Terms or the Acceptable Use Policy
- We are required to do so by law
- Your use threatens service integrity or security
11.4 Effects of Termination
- Access to services will be terminated
- Phone numbers may be released after 30 days
- Data will be deleted after 30 days unless otherwise required by law
- Outstanding charges remain due and payable
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
- WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
- TOTAL LIABILITY IS LIMITED TO FEES PAID IN THE 12 MONTHS PRECEDING THE CLAIM
- WE ARE NOT LIABLE FOR SERVICE INTERRUPTIONS, DATA LOSS, OR UNAUTHORIZED ACCESS
- WE ARE NOT LIABLE FOR THIRD-PARTY SERVICES OR EQUIPMENT
13. Indemnification
You agree to indemnify and hold harmless Haleji from claims arising from:
- Your use of services
- Your violation of these Terms
- Your violation of applicable laws
- Your infringement of third-party rights
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada.
14.2 Dispute Process
- Contact support@haleji.com to attempt informal resolution
- If unresolved within 30 days, either party may initiate mediation
- If mediation fails, disputes will be resolved through binding arbitration
15. Modifications to Terms
We may modify these Terms at any time. Material changes will be communicated via:
- Email to your account contact
- Notice on our website
- In-application notification
Continued use after modifications constitutes acceptance. If you disagree, you may terminate your account.
16. General Provisions
16.1 Assignment
You may not assign or transfer your rights without our written consent. We may assign these Terms without restriction.
16.2 Severability
If any provision is found invalid, the remaining provisions remain in full effect.
16.3 Waiver
Failure to enforce any right does not constitute a waiver of that right.
16.4 Entire Agreement
These Terms, together with the Acceptable Use Policy and Privacy Policy, constitute the entire agreement between you and Haleji.
